These Terms of Service constitute a legally binding agreement between Brizy Technologies Private Limited and the Customer using the Brizy Insights platform and related services.
1. Acceptance of Terms
By creating an account, deploying the Brizy Insights agent, or otherwise accessing the Services, you confirm that you have the legal authority to enter into these Terms on behalf of your organisation, that your organisation accepts these Terms, and that you are at least 18 years of age. We may update these Terms from time to time, and continued use after changes constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes via email or in-platform notification.
2. Description of Services
Brizy Insights is an enterprise-grade workforce and endpoint governance platform designed for regulated industries, including Banking, Financial Services, and Insurance. The platform may provide location governance, workforce analytics, productivity intelligence, asset and peripheral control, and security and data loss prevention features. We may modify, suspend, or discontinue features with reasonable notice, and we will not materially reduce core paid functionality without offering a pro-rata refund for the unused period.
3. Account Registration and Security
You must provide accurate and complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us at support@brizy.com of any suspected unauthorised access. You may not share account access with individuals outside your organisation or create accounts on behalf of others without authorisation.
4. Customer Obligations and Compliance
The Brizy Insights platform is designed for lawful workplace monitoring with appropriate employee consent and notice. You agree to obtain all legally required consents, provide clear notice to end users, use the Services only for lawful workforce management, security, and compliance purposes, ensure your internal handling complies with applicable privacy laws, maintain records of consent and notice, and avoid deploying the agent on devices used exclusively for personal purposes without explicit consent. You remain solely responsible for ensuring your use of the Services is lawful in your jurisdiction.
5. Acceptable Use
You agree not to monitor individuals without legally required notice or consent, collect data beyond lawful workforce management and endpoint security, reverse engineer or disassemble the platform, attempt unauthorised access to our systems or other customers' data, transmit malicious code, resell or sublicense the Services without written consent, violate applicable law, or interfere with the integrity or performance of the Services. Violation may result in immediate suspension or termination without refund.
6. Subscription, Fees, and Payment
Subscriptions are offered on monthly or annual billing cycles. Unless stated otherwise, fees are quoted in Indian Rupees and are exclusive of applicable taxes. Payment is due in advance, and failure to pay may result in suspension after a grace period of 7 days. Annual subscriptions are non-refundable except where required by law or expressly agreed in writing. We may adjust pricing with 30 days' notice, and price changes will not apply to the current subscription period.
7. Data Processing
To the extent we process personal data on your behalf, we act as a Data Processor or Data Intermediary under applicable Indian law and you act as the Data Fiduciary. Our data processing practices are governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement. You retain ownership of data submitted to the Services, and you grant us a limited licence to process that data solely to provide and improve the Services as described in our Privacy Policy.
8. Intellectual Property
All intellectual property rights in the Brizy Insights platform, including software, algorithms, designs, trademarks, and documentation, are owned by or licensed to Brizy Technologies Private Limited. These Terms do not grant you any ownership rights in the Services. You retain intellectual property rights in the data you submit and grant us a limited licence to use anonymised and aggregated data to improve our Services. Feedback, suggestions, or ideas you provide may be used by us without restriction or compensation.
9. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that is publicly available through no fault of the receiving party, was rightfully known before disclosure, is received from a third party without restriction, or must be disclosed by law or regulatory order.
10. Warranties and Disclaimers
We warrant that we will provide the Services with reasonable skill and care and substantially as described in our documentation. Except as expressly set forth above, the Services are provided 'as is' without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free or uninterrupted.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Brizy shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or the use of the Services. Brizy's total aggregate liability shall not exceed the amounts paid by you to Brizy in the 12 months immediately preceding the event giving rise to the liability.
12. Indemnification
You agree to indemnify, defend, and hold harmless Brizy and its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses arising from your use of the Services in violation of these Terms, your breach of applicable law, your failure to obtain required consents, or any third-party claim arising from your use of the Services.
13. Termination
Either party may terminate these Terms and close the account. You may terminate at any time by providing written notice, subject to the refund terms that apply to prepaid annual fees. We may terminate with 30 days' written notice for any reason or immediately for material breach, non-payment, or as required by law. Upon termination, access to the Services ceases and we will delete or return data as described in our Privacy Policy. Provisions that by their nature should survive termination will survive.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
15. General
These Terms, together with the Privacy Policy and any executed DPA or Order Form, constitute the entire agreement between you and Brizy regarding the Services. If any provision is unenforceable, the remaining provisions remain in full force. Failure to enforce a right does not waive that right. You may not assign these Terms without our prior written consent, and we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by circumstances beyond its reasonable control.
